Terms of Service

Effective 1 May 2026

1. Agreement

By accessing or using the FlipTheScript web application and associated services (collectively, "the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a legally binding agreement between you (and, where applicable, the organisation you represent) and FlipTheScript ("we", "us", "our"). If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

FlipTheScript is a cloud-based script breakdown and production management tool for film and television art departments. The Service is accessed via a web browser and requires an active subscription after any applicable trial period. We may update, modify, or discontinue features of the Service at any time, and will give reasonable notice of material changes.

3. Accounts

You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and complete registration information and keep it up to date. Team subscriptions allow you to invite additional members to your production workspace. Each team member must agree to these Terms and you are responsible for ensuring they do so. You must promptly remove access for any team member who leaves your organisation or no longer requires access.

4. Subscriptions and Payment

Access to the Service requires a paid subscription after any applicable free trial. Subscriptions are billed on a monthly basis. Prices are displayed in GBP and are inclusive of any applicable taxes unless stated otherwise. All payments are processed by our payment provider, Paddle. You authorise us (via Paddle) to charge your payment method on file at each renewal date until you cancel. We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Free Trial

We may offer a free trial period for new subscribers. After the trial ends, continued use of the Service requires a paid subscription. We reserve the right to modify or end trial offers at any time for new sign-ups.

6. Cancellation

You may cancel your subscription at any time via your account settings. On cancellation, your subscription remains active until the end of the current billing period. After that, your account enters a 30-day read-only grace period during which you can export your data but cannot create or edit content. After the grace period, your data may be deleted. We do not provide partial refunds for unused time within a billing period, except where required by applicable law.

7. Your Data

You retain full ownership of all content you upload or create within the Service, including script PDFs, breakdown data, notes, and schedules ("Your Data"). We do not claim any intellectual property rights over Your Data. By using the Service, you grant us a limited licence to store, process, and transmit Your Data solely to provide the Service to you. Your Data is stored in the cloud using third-party infrastructure providers (see Section 9). You are responsible for ensuring you have the right to upload and process any script PDFs and other materials you import into the Service.

8. Data Protection

We process personal data in accordance with applicable data protection law, including the UK GDPR and the Data Protection Act 2018. Our Privacy Policy (available at flip-the-script.app/privacy) sets out in detail how we collect, use, and protect personal data. Where we process personal data on your behalf as a data processor (for example, personal data contained in your scripts or production documents), we will do so only in accordance with your instructions and applicable law. By using the Service, you confirm that you have a lawful basis to upload any personal data contained in your materials.

9. Sub-processors

To provide the Service, we use the following third-party sub-processors who may store or process Your Data: Supabase, Inc. (database and authentication infrastructure, hosted in the EU/US); Vercel, Inc. (application hosting and file storage); Paddle.com Market Limited (payment processing). We will update this list when we add or remove sub-processors and will give you reasonable notice of any changes that may affect your data. All sub-processors are bound by appropriate data processing agreements.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: use the Service to store or transmit material that infringes any third-party intellectual property rights; attempt to gain unauthorised access to any part of the Service or its infrastructure; use the Service in any way that could damage, disable, or impair our systems; resell or sublicense access to the Service; or use the Service to develop a competing product. We reserve the right to suspend or terminate accounts that violate these provisions.

11. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free from loss, corruption, or security breach. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including warranties of merchantability and fitness for a particular purpose. Nothing in these Terms excludes or limits liability that cannot be excluded under English law, including liability for death or personal injury caused by negligence or fraudulent misrepresentation.

12. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

13. Updates to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you must stop using the Service before the changes take effect.

14. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
